Nursing Facilities


Experienced attorneys.  Since the 1960's, Peck Shaffer has been serving as bond counsel and underwriter's counsel in bond issues to finance the construction, acquisition, and expansion of nursing facilities.  We have been involved in financings for single facilities and for multiple facility systems.  We have been participants in issues with bonds secured by FHA mortgage insurance under the Section 232 program and bonds secured by guaranties under the United States Department of Agriculture Community Facilities Guaranty Program.

We understand the nursing facility industry.  Because our long-time involvement with the nursing facility industry, we understand the changes that have occurred in the methodology of reimbursing nursing facilities under Medicaid and other third party payment programs.  We are also knowledgeable about liability insurance and other issues affecting the nursing facility industry.  Our tax lawyers are also experienced in the tax aspects of the 501(c)(3) organizations that own and operate nursing facilities.

We help guide the transaction.  When we serve as bond counsel in nursing facility financings, we help guide the transaction to its conclusion, which often involves helping coordinate the activities of the borrower, borrower’s counsel, a third party developer, feasibility consultants, credit enhancers and their counsel, the underwriter, and underwriter’s counsel.  We understand the needs of the various parties to the transaction to conclude the financing as quickly as practical.

National leadership.  Peck Shaffer lawyers have served as bond or underwriter's counsel in nursing home financings throughout the United States, including transactions in Alabama, Florida, Georgia, Illinois, Indiana, Kentucky, Mississippi, Missouri, Pennsylvania, Ohio, New Mexico, North Carolina, South Carolina, Tennessee, Texas, Virginia, and West Virginia.  For example, we served as bond counsel and borrower's counsel in a bond issue to refinance and improve a 255-bed nursing home located in Philadelphia, Pennsylvania and we served as underwriter's counsel in a composite offering of five bond issues to refinance nursing facilities in Ohio for a single owner.  We consistently rank among the top firms nationally as both bond and underwriter's counsel for Nursing Long-Term Municipal New Issues in the Thomson Municipal Market Analysis review of the public debt market.
