Health Care

National leadership.  Peck Shaffer is a national leader in healthcare finance, serving as bond counsel on more than 600 issues with a face value of over $12 billion.  We consistently rank among the top firms nationally, according to the Thomson Municipal Market Analysis, as bond and underwriter's counsel, with respect to number of issues and dollar amount.  We have served as bond counsel on healthcare bond financings with most of the major investment banking firms in the country.  Our legal approving opinion on healthcare financing is accepted throughout the United States and we are frequently called upon to serve as counsel to national and regional investment banking firms to advise them in public offerings of tax-exempt healthcare bonds.  Our firm also provides full blue-sky services for numerous investment banking clients.

Depth of experience.  Peck Shaffer has served as bond or underwriter's counsel for healthcare financings including all types of structural elements such as: auction rate securities, bond insurance, fixed rate obligations, interest rate swaps, leases, letters of credit, master trust indentures, refundings, special maturity structures and variable rate obligations, all designed to meet the needs of each institution.  We have worked with large multi-state healthcare systems, individual healthcare institutions of all sizes, rural hospitals and governmental hospitals.  Additionally, we have worked on numerous financings for long-term care facilities including nursing homes, continuing care retirement communities, assisted living facilities and independent living facilities (see "LONG-TERM CARE FACILITIES").

Professional reputation.  Attorneys in our firm are members of numerous healthcare organizations, including the National Health Lawyers Association, the Health Law Forum of the American Bar Association, the American Hospital Association, the American Academy of Hospital Attorneys, the American Association of Homes and Services for the Aging and the Health Care Financial Management Association.  Peck Shaffer is one of only three bond counsel firms to be a member of the Health Care Financing Study Group, a Washington, D.C. based lobby group for the healthcare industry on matters of finance and reimbursement.  These activities provide us with further background and knowledge in healthcare finance.

Easing the administrative burden.  Realizing the significant administrative burden on healthcare financial officers in connection with the rebate calculations required by the Internal Revenue Service (the "IRS") for issuances of tax-exempt debt, we possess the internal capability to perform such rebate calculations for our healthcare clients.  Peck Shaffer is one of only a few bond counsel firms which provide arbitrage rebate compliance reports (see "TAX AND FINANCIAL ANALYSIS – Rebate Services."
